Description
Our client is seeking a Legal Counsel to support the business through the strategic management of legal, contractual, and dispute-related matters. The successful candidate will actively participate in the design, preparation, drafting, negotiation, and implementation of a wide range of agreements and contracts, including asset-related matters, association agreements, service contracts, and technical contracts, with annual negotiated contract values ranging from USD 1 million to USD 100 million.
The role will also provide legal advice and support to the affiliate and the Company on pre-litigation and litigation matters, leading dispute resolution processes and managing disputes with values ranging from USD 1 million to USD 100 million, while ensuring legal compliance and protecting business interests.
Key Responsibilities:
- Perform legal research.
- Prepare summaries, legal analysis, and keep them up to date.
- Provide legal opinions.
- Assist the clients entities in the decision-making process, by analysing and assessing legal risks and by recommending appropriate and optimized solutions.
- Analyse and interpret planned or existing Namibian and international laws, regulations, and contractual agreements.
- Advise on the interpretation and application of these texts.
- Anticipate needs, alert, advise and propose appropriate solutions to our clients.
- Inform and advise when a new situation or a new threat has been identified.
- Prepare, draft a wide range of agreements and contracts and monitor their implementation.
- Propose new agreements in response to new situations.
- Treat moderately complex cases independently.
- Ensure legal certainty and optimization of a given sector (area of law or industry).
- Participate in negotiations with subcontractors, service providers, partners, Governments and National Companies.
- Advise and assist the clients entities in the design of legally and economically adapted contractual schemes.
- Propose to the clients entities legal structures adapted to local environment, taking into account legal constraints and economic data.
- Participate in the creation and development of these structures.
- Advise and assist the clients entities in pre-litigation phases.
- Advise and assist the clients entities in litigation.
- Follow-up the work and services of outside legal counsels.
- When requested, represent the Company for legal issues
- When requested, actively participate in professional bodies’ legal committees.
- Help to ensure legal certainty, protection and promotion of the interests of the client, in particular the client and the clients entities operating in Angola.
- Ensure that the clients entities are in statutory compliance with the regulations and laws governing them.
Requirements
- LLM or equivalent in Business / Commercial Law.
- 5 years minimum experience as a lawyer or corporate lawyer, in petroleum or business law.
- Fluent English knowledge (written and spoken).
- Knowledge of French (written and spoken) would be valuable though not essential.
- Strong qualities of analysis, thoroughness and writing.
- Good negotiation skills.
- Good interpersonal relations both internally and externally.
